I’ve been in boardrooms across industries, from finance to healthcare, and I keep seeing the same thing: Board members ask: - “What’s the AI budget?” - “What’s the timeline?” - “What’s the ROI?” But almost no one asks the most important question: “How do we even know this is AI?” Here’s the problem… Most boards are approving AI initiatives without a clear definition of what qualifies as AI because the lines are blurry. Vendors show up with polished demos and pitch tools labeled “AI-powered.” But without clarity, boards end up greenlighting: ✗ Rule-based systems dressed up as intelligence ✗ Traditional software relabeled with buzzwords ✗ Proof-of-concept demos, not scalable AI infrastructure ✗ “AI-washed” features that don’t actually learn or adapt Before the next AI contract crosses your desk, ask leadership: → Where exactly does machine learning happen in this system? → How does it improve over time with use? → What data powers it, and who owns that data? → How much human intervention is required for results? Push too hard, and AI scales decisions you can’t fully explain, audit, or shut down cleanly. Slow down too much, and the organization freezes while competitors learn in production. 𝐓𝐡𝐢𝐬 𝐢𝐬𝐧’𝐭 𝐚 𝐭𝐞𝐜𝐡 𝐝𝐢𝐥𝐞𝐦𝐦𝐚. 𝐈𝐭’𝐬 𝐚 𝐛𝐨𝐚𝐫𝐝 𝐝𝐞𝐬𝐢𝐠𝐧 𝐟𝐥𝐚𝐰. What worries me most is not hallucinations or regulation. It’s that many boards are still treating AI like: ✔️ A capex line item ✔️ An efficiency program or ✔️ An innovation bet When in reality, AI behaves like: ❗ A new workforce ❗ A permanent risk surface ❗ A system that keeps acting when people stop watching That’s why the real questions have shifted. Not “what is the ROI?” But: 𝐰𝐡𝐨 𝐨𝐰𝐧𝐬 𝐭𝐡𝐞 𝐝𝐞𝐜𝐢𝐬𝐢𝐨𝐧 𝐰𝐡𝐞𝐧 𝐭𝐡𝐞 𝐬𝐲𝐬𝐭𝐞𝐦 𝐦𝐚𝐤𝐞𝐬 𝐢𝐭 𝐟𝐚𝐬𝐭? Not “is this compliant?” But: 𝐰𝐡𝐚𝐭 𝐡𝐚𝐩𝐩𝐞𝐧𝐬 𝐨𝐧 𝐝𝐚𝐲 𝐨𝐧𝐞 𝐨𝐟 𝐚𝐧 𝐀𝐈-𝐝𝐫𝐢𝐯𝐞𝐧 𝐢𝐧𝐜𝐢𝐝𝐞𝐧? Boards that will struggle in the next 18 months won’t lack ambition. They will lack a shared mental model. 𝐈𝐭 𝐫𝐞𝐰𝐚𝐫𝐝𝐬 𝐜𝐥𝐚𝐫𝐢𝐭𝐲. If your board had to explain its AI decisions under pressure tomorrow - who would speak, and what would they say? 𝘐𝘯 𝘵𝘩𝘦 𝘣𝘦𝘨𝘪𝘯𝘯𝘪𝘯𝘨, 𝘪𝘵 𝘭𝘰𝘰𝘬𝘴 𝘭𝘪𝘬𝘦 𝘳𝘢𝘯𝘥𝘰𝘮 𝘴𝘵𝘳𝘰𝘬𝘦𝘴. ✔️ In late 2025, researchers identified "EchoLeak" (CVE-2025-32711), a zero-click exploit where an AI assistant exfiltrated data simply by parsing a malicious email in the background. #️⃣ Do you know the threat? #️⃣ Your AI agent can transfer $1M (or any amount) to a "verified" vendor, through a single email no one ever clicked! ✔️ When organizations are moving from GenAI (used mostly to 'talk" to Agentic AI (an agent, that acts), the ground truth on governance changes fundamentally. ✔️ Boards can no longer treat AI as a 'tech issue', it is now a fundamental matter of fiduciary oversight and operational risk. ✔️ Three Questions to ask at your next Board Meeting : *️⃣ "What is our defined protocol for human authorization on decisions that are high-impact, automated, taken without human intervention?" The Board needs to know if there's a process to establish and identify automated processes that have the "keys to the kingdom". They'll want to ensure that a process-control mechanism necessitates that a human must remain as the final gatekeeper to prevent irreversible financial or legal errors. *️⃣ "Which executive leaders hold P&L accountability for the performance and conduct of our primary AI-driven operations?" The Board will like to ensure that if an automated system fails or underperforms, there is an identified business owner responsible for the business-techno-financial outcome. Operations with automated agents needs stakeholders from the business. It's not acceptable and prudent if the owner is a technology lead responsible for the uptime. *️⃣ "How are we monitoring our automated systems for manipulation, gradual 'integrity drift' by external actors?" If an AI’s logic is subtly corrupted over time by biased or malicious data, the Board needs to know if the company has the detection mechanisms in place to catch the shift, before it becomes a public-facing crisis. ✔️ The biggest risk to an organization isn't the AI that fails overnight, or doesn't return the expected results over a period of defined time. ↘️ The hidden challenge is an AI system that slowly drifts off course while everyone thinks it’s performing perfectly. ✔️ Traditional audit trails weren't designed for autonomous 'agents' that can act, communicate, spend, delete records and perform actions - on a company’s behalf. ✔️ To protect brand reputation and capital, leadership must evolve their questioning. ✔️ When AI isn't just a line item in the R&D budget or an 'innovation project' anymore, but officially a core part of how we do business, the Boards and also the CEOs need to evolve. ✔️ Fiduciary duty now requires AI fluency, the ability to probe the management for the real ROI, bottom-line impact, protocols, security benchmarks and standards. AI in the Boardroom: What Charity Trustees Need to Do Now 🚨 Too many boards are sleepwalking into the risks, while missing the opportunities. I've just finished reading the new Institute of Directors (IoD)’s 'AI Governance in the Boardroom report' and it makes one thing clear: trustees can’t delegate this. AI is a board-level issue. Here are the key takeaways from the report every charity board should act on: 🧠 Stay Curious. Stay Learning. Boards don’t need to be technical experts, but they must understand enough to ask the right questions. Build a culture of digital curiosity at board level. ⚖️ AI = Risk AND Opportunity. Don’t just see AI as a shiny tool to save time. Trustees must weigh efficiency gains against bias, privacy, reputational harm, and compliance risks. ❓ Governance Starts with Questions. Who owns AI in your organisation? How is data being used? What safeguards are in place? Boards need simple checklists and regular oversight, not a one-off discussion. 📜 Know the Law. Regulation is tightening. - The EU AI Act is rolling out, with obligations on transparency, risk classification, and human oversight. - The UK is moving towards sector-led regulation, but trustees are still on the hook for data misuse under GDPR and the ICO’s guidance. - Trustees should be clear: ignorance won’t protect your charity from fines, reputational damage or, worst of all, harm to beneficiaries. 🎯 Impact Before Hype. Does this AI tool align with our mission, or is it just a gimmick? Focus on how tech helps people - service users, staff, and volunteers. 🛡️ Build Oversight Structures. Some boards are creating AI subcommittees or ethics groups. At the very least, AI should be a standing agenda item. Oversight isn’t optional anymore. 🔐 Data is Everything. AI governance is data governance. If your board isn’t confident on data protection, cybersecurity, and safeguarding sensitive information, that’s the place to start. The report is blunt: AI governance is now a fiduciary duty. Trustees don’t get a free pass. ✅ If you sit on a charity board, make AI part of your next meeting agenda. ✅ If you’re a Digital Trustee, help your board translate principles into practice. ✅ If you’re a CEO, empower your trustees to ask the hard questions. To perform their duties responsibly, boards must function as Humans + AI. Adopting new working structures and evolved governance structures incorporating AI can lead to substantial performance improvement. Much of my current work with boards is on strategic framing for AI and in AI-augmented decision-making, but there is considerably more potential. A very nice HBR piece brings real-world insights to bear. The first finding was that directors and chairs largely failed to recognize the value and potential of AI in their work. However still many boards and directors are using AI in useful ways. MEETING PREPARATION Directors who use LLMs reported significantly improved understanding of agenda items and reduced workload. One director across five Danish boards uses AI to structure presentations and run simulations; another in Switzerland uses it to refine board discussion questions from the board book. SCENARIO PLANNING GenAI, used well, can be an excellent tool for rapid scenario planning. One board in Austria used an LLM to analyze geopolitical risk in an acquisition proposal. This led to it rejecting the deal, and resulted in management attaching scenario analyses to future proposals. ADDITIONAL PERSPECTIVES Boards in Finland and the Netherlands used AI to test their own strategic conclusions, finding significant overlap between AI-generated insights and their human decisions. This boosted both their confidence in the decisions and their trust in AI’s utility, particularly for validating or challenging complex judgments. IMPROVING BOARD DYNAMICS AI can offer real-time feedback on boardroom dynamics. For example, a Swiss industrial company uses AI to analyze speaking time, tone, and engagement during meetings, creating recommendations for better group engagement. The article addresses potential risks: 🔐 Information leaks. These stem not from AI itself but from poor data governance, which can be mitigated with proper access controls and security training. ⚖️ Sample bias. Regular audits and user awareness are key to avoiding flawed, discriminatory, or incomplete insights. 🧭 Anchoring in the past. AI can be overly reliant on historical data. Scenario simulations and reasoning models can help boards anticipate and adapt to future shifts. And concludes with recommendations on learning to use AI well: 1️⃣ Create engagement. Chairs should start with one-on-one conversations to assess AI literacy and follow up with tailored training to build confidence and interest. 2️⃣ Practice collective experimentation. Boards should test AI tools together in low-stakes settings, debrief their experiences, and gradually integrate AI into governance processes. 3️⃣ Maintain momentum. Chairs must lead by example, celebrate AI use regardless of outcomes, and embed AI progress into board evaluations. 𝐅𝐨𝐫 𝐭𝐡𝐞 𝐫𝐞𝐦𝐚𝐢𝐧𝐢𝐧𝐠 𝟗𝟓%, 𝐭𝐡𝐞 𝐩𝐫𝐨𝐦𝐢𝐬𝐞 𝐨𝐟 𝐭𝐫𝐚𝐧𝐬𝐟𝐨𝐫𝐦𝐚𝐭𝐢𝐨𝐧 𝐚𝐧𝐝 𝐩𝐫𝐨𝐝𝐮𝐜𝐭𝐢𝐯𝐢𝐭𝐲 𝐡𝐚𝐬 𝐬𝐭𝐚𝐥𝐥𝐞𝐝 𝐬𝐨𝐦𝐞𝐰𝐡𝐞𝐫𝐞 𝐛𝐞𝐭𝐰𝐞𝐞𝐧 𝐚𝐦𝐛𝐢𝐭𝐢𝐨𝐧 𝐚𝐧𝐝 𝐞𝐱𝐞𝐜𝐮𝐭𝐢𝐨𝐧. 𝐒𝐨, 𝐡𝐨𝐰 𝐜𝐚𝐧 𝐛𝐨𝐚𝐫𝐝 𝐦𝐞𝐦𝐛𝐞𝐫𝐬 𝐥𝐞𝐚𝐧 𝐢𝐧𝐭𝐨 𝐭𝐡𝐞𝐢𝐫 𝐫𝐨𝐥𝐞 𝐚𝐬 𝐬𝐭𝐞𝐰𝐚𝐫𝐝𝐬? - 𝐏𝐮𝐫𝐩𝐨𝐬𝐞 𝐛𝐞𝐟𝐨𝐫𝐞 𝐚𝐝𝐨𝐩𝐭𝐢𝐨𝐧: what business problem are we solving, and does AI truly create measurable value? - 𝐑𝐎𝐈 𝐚𝐥𝐢𝐠𝐧𝐦𝐞𝐧𝐭: Are we investing in the areas that actually move the needle, including efficiency risk management and operational resilience? - 𝐂𝐚𝐩𝐚𝐜𝐢𝐭𝐲 𝐛𝐮𝐢𝐥𝐝𝐢𝐧𝐠: Do our management teams have the depth and discipline to implement these tools? If not, how do we bridge that skills gap? - 𝐋𝐞𝐚𝐫𝐧𝐢𝐧𝐠: Are we, as directors, continuously upskilling to understand the technologies shaping the future of business? I spend a lot of time advising C-suites and boards on AI strategy. Most AI strategy plans I review aren’t strategies — they’re fragmented pilot portfolios. A board director asked me recently: What actually separates the boards succeeding with AI from everyone else? The answer lies in three converging realities 👇 1️⃣ Board oversight is intensifying. Cybersecurity, emerging technology, and innovation are pre-occupying the board more than ever before. EY’s 2025 analysis of Fortune 100 proxy statements shows around half of companies now cite AI risk as part of board oversight — triple last year’s level. 44 % now mention AI in director qualifications, up from 26 % in 2024. 2️⃣ The failure rate is staggering. MIT’s 2025 State of AI in Business report found 95 % of AI pilots fail to deliver measurable ROI, representing $30–40 billion in wasted spend annually. The study also found purchased solutions succeed twice as often as internal builds. 3️⃣ Most boards lack frameworks to evaluate success. Despite increased oversight, NACD reports that only 6 % of boards have AI metrics for management reporting, and 31 % cite lack of clear ROI as the biggest barrier to adoption. So boards are spending more time on AI, budgets are exploding — and 95 % of initiatives still fail to deliver value. Three questions to consider at your next board meeting: 1️⃣ Show me the P&L impact of our AI spend — not pilot updates, actual financial results. Most pilots don’t address end-to-end processes and rarely move the needle at enterprise level. Without clear P&L linkage, you’re measuring activity instead of outcomes. 2️⃣ Are we building, buying, or partnering? MIT data shows buying succeeds twice as often as building, yet most companies default to “build” without questioning why. 3️⃣ How many use cases are we chasing? I just published a new piece: The Board's (Potential) AI Blind Spots, built around six questions I'd put on every board's next agenda. This grew out of a fireside chat I was invited to participate in at the 2026 KPMG Board Leadership Conference earlier this week. The conversations that followed made clear the strong appetite for this type of dialogue. The six questions: 1. Are we developing human capabilities that AI cannot (currently) replace, at the pace AI is advancing? 2. Is our culture ready to absorb AI at the speed and scale our strategy requires? 3. How will AI change the social contract between the company and its workforce, and are we leading that conversation or reacting to it? 4. Are we redesigning how value is created, or are we automating the old model faster? 5. Who is accountable when AI and humans co-produce the work, and are our governance structures keeping up? 6. What are the near, mid, and longer-term org design implications we should be considering? The first three address the human side: capabilities, culture, and the commitment between company and workforce. The second three address the structural side: value creation, accountability, and organizational design. The boardroom has a new participant. It doesn't hold a seat, but it's shaping every decision that does. Generative AI has moved from novelty to necessity. While early use cases focused on content creation, the next wave will reshape how executives make decisions, allocate capital, and manage risk. Boards that understand where this is heading will gain a structural advantage. Those that don't will be playing catch-up in a market that won't wait. Here's what executive teams need to know. 1. The shift: From text generator to decision partner Generative AI is no longer just producing content. It is synthesizing complex datasets, modeling strategic scenarios, recommending options, and surfacing risks and tradeoffs in real time. This positions AI as a decision-support layer for executives. Not a replacement for human judgment. An accelerant of it. 2. What's emerging now; Four strategic use cases already in motion *Board Reporting. Thousands of pages of operational data synthesized into concise, decision-ready summaries. *Scenario Planning. Real-time "what-if" modeling across supply chain, pricing, workforce, and M&A. *Policy Simulation. Modeling the downstream impact of regulatory changes or geopolitical shifts before they land. *Market Intelligence. Continuous analysis of market signals and customer sentiment, not quarterly snapshots. 3. The governance gap; Risks boards must address, not delegate Speed without guardrails is a liability. Boards need to own the governance posture, not just receive reports on it. *Hallucinations producing inaccurate insights *Model bias skewing recommendations *Data leakage via ungoverned prompts *Over-reliance on automated decisioning AI-augmented decisions must remain transparent, auditable, and aligned with enterprise risk frameworks. This is not an IT question. It is a board level accountability question. 4. The mandate; What boards should request now Don't wait for a briefing deck. Push for four concrete deliverables: A. Your organization's Generative AI Governance Framework with clear accountability lines; B. Explicit human-in-the-loop protocols for high-stakes decisions; C. Your organization's roadmap for AI integration into planning, forecasting, and reporting; and regular updates on model performance, drift, and risk controls. Generative AI will be a core component of enterprise decision-making within 24 to 36 months. The window to build governance infrastructure ahead of adoption is narrow and closing. The boards that move now will not just be better informed.
