    DPDP Act Decoded #33: Independent Data Auditor — Designing Audits That Actually Test Compliance Most DPDP audits will pass. That does not mean the organisation is compliant. The independent data auditor under the DPDP Act is not a ceremonial appointment. For a Significant Data Fiduciary, the Act requires appointment of an independent data auditor to carry out a data audit and evaluate compliance. Separately, Section 10(2)(c) requires periodic DPIAs and audits. Rule 13 fixes the cadence: once in every period of 12 months from the date on which the entity is notified as an SDF or included in that class, a DPIA and audit must be undertaken, and significant observations furnished to the Board. That should change how audits are designed. The privacy audits shouldn't read like documentation reviews. Effective DPDP audits require something else. An audit that actually tests compliance must be evidence-led, control-led, and rights-led. Not: “Do you have a policy?” But: “Can you prove what your systems are doing?” At a minimum, an effective DPDP audit should test: 1. Lawful processing in practice Notice at collection demonstrable? Valid consent evidenced where relied on? Each material processing mapped to a legal basis? Cessation on withdrawal within a reasonable time, unless another legal basis applies? 2. Operational controls under Section 8 Test, not assume: • accuracy controls where decisions/disclosures occur • appropriate technical and organisational measures • reasonable security safeguards • breach detection and response workflows • erasure triggers when purpose is no longer served • contact publication and grievance mechanisms If systems, logs, workflows, vendor arrangements, deletion jobs, and incident records are not sampled, the audit is incomplete. 3. Algorithmic and technical risk (Rule 13(3)) The SDF must exercise due diligence to verify that technical measures, including algorithmic software, are not likely to pose a risk to the rights of Data Principals. The auditor should examine whether the organisation has exercised due diligence over: • product logic and automated workflows • model-linked decision inputs and outputs • risk testing and validation • change management and deployment controls If the system makes decisions, the audit must test the system. One practical implication: SDF audits are likely to shape the enforcement baseline. Even where the Act does not mandate an independent data auditor, this is a prudent compliance benchmark for organisations. If your audit ends with a slide deck, no failed samples, no system walkthroughs, and no remediation tracker, it is not testing compliance. It is documenting aspiration.     In finance, auditability is table stakes. In sustainability, it’s still a scramble. When your auditor asks, “Where did this number come from?”—you know the answer. You point to the ledger, the workflow, the policy, the controls. But what happens when they ask the same about your emissions data? Or your Scope 3 supplier figures? Or your water intensity ratio? That’s when most companies start digging through Excel files, buried emails, or a consultant’s offline calculator. Let’s be clear: that won’t hold up. Not with CSRD. Not with SEC climate rules. Not with limited assurance requirements just around the corner. If the CFO owns financial control environments, they also need to think about non-financial data the same way. Because today, regulators are asking for emissions breakdowns. Tomorrow, it will be biodiversity, supply chain risk, and human rights. So here’s the question: Can you walk your auditor back to the exact source system, transaction, and calculation method used to generate your sustainability metrics? Not just “we worked with a third party” or “we had a consultant pull that.” But a verifiable, traceable, auditable line—from data ingestion to disclosure. If not, then it’s time to build that infrastructure. What does that actually look like? • Data collection tied directly to operational or financial systems • Centralized controls over assumptions and methodologies • Audit logs for all changes or overrides • Evidence files automatically attached to calculations • Version control of every output • User access permissions and approval chains It’s not about building a whole new financial close process. It’s about applying what you already know—internal control, documentation, defensibility—to a new and fast-evolving class of disclosures. Because soon, your board, investors, and auditors will ask: “Can we trust these numbers?” And the answer can’t be: “We hope so.”

Review who has read, write, and administrative rights, and check if periodic access reviews are performed. 📌 Encryption and Masking: Test whether sensitive fields are encrypted both at rest and in transit. Verify if masking is used for non-production environments where developers or testers access real data. 📌 Logging and Monitoring: Ensure all database activity is captured and independently reviewed. Pay close attention to privileged accounts, since insiders with excessive power often pose the biggest risks. 📌 Backup and Recovery: Evaluate whether recovery procedures are tested regularly. It’s not just about availability but also about ensuring the restored data remains complete and unaltered. 📌 Change and Patch Management: Confirm that schema changes are documented, approved, and tested. Check whether security patches are applied promptly, reducing the window of exposure. Database audits are not optional. They are central to protecting financial records, meeting regulatory obligations, and preserving customer relationships. Boards and executives often ask if IT systems are secure, but few realize that the real test lies in how well databases are controlled.
