Beginning March 1, 2026, the California Fair Investment Practices by Venture Capital Companies Act (FIPVCC) kicks in — bringing new registration and annual reporting requirements. What’s notable: ✔ A relatively minimal California nexus can trigger coverage (even a single CA LP or portfolio company may count) ✔ Covered Entities need to register through the DFPI reporting system, starting March 1, 2026 ✔ Annual reporting includes aggregated demographic data on founders of portfolio companies ✔ First reporting deadline hits April 1, 2026 (covering 2025 investments) This isn’t just for traditional VC funds — some private equity structures and SPVs could be in scope too. Ground-up construction loans are unique because they release funds in stages instead of all at once. This staged draw system—covering phases like foundation, framing, and final finishes—protects lenders but also means builders must cover upfront expenses before reimbursement. In California, where labor costs and permitting delays are common, this can cause stress if financing isn’t structured correctly. Another feature is interest-only payments, calculated only on funds drawn, reducing costs early in the project. But lenders also want “exit strategies”: either a sale or refinance upon completion.
